ตามบทบัญญัติมาตรา 1079 แห่งประมวลกฎหมายแพ่งและพาณิชย์ กำหนดให้ห้างหุ้นส่วนจำกัดซึ่งยังไม่ได้จดทะเบียนเป็นนิติบุคคลต้องรับผิดต่อเจ้าหนี้หรือบุคคลภายนอกในมูลละเมิดหรือมูลเหตุแห่งนิติกรรมสัญญานั้น โดยจะต้องรับผิดเสมือนเป็นห้างหุ้นส่วนสามัญ ซึ่งผู้ที่เป็นหุ้นส่วนทั้งหมดไม่ว่าจะเป็นหุ้นส่วนประเภทจำกัดความรับผิดหรือหุ้นส่วนประเภทไม่จำกัดความรับผิดก็จะต้องรับผิดในบรรดาหนี้สินทั้งหมดของห้างหุ้นส่วนจำกัดโดยไม่จำกัดจำนวนในความเสียหายจนกว่าจะได้มีการจดทะเบียนจัดตั้งห้างหุ้นส่วนจำกัดถูกต้องตามที่กฎหมายกำหนด และในระหว่างที่ห้างหุ้นส่วนจำกัดยื่นคำขอจดทะเบียนเป็นนิติบุคคลนั้นได้ไปดำเนินกิจการกับบุคคลภายนอกหรือไปก่อหนี้สินแล้ว และต่อมาห้างหุ้นส่วนจำกัดได้จดทะเบียนถูกต้องตามที่กฎหมายกำหนดแล้ว ห้างหุ้นส่วนจำกัดจะต้องรับผิดในบรรดาหนี้สินซึ่งเกิดขึ้นก่อนที่จะมีการจดทะเบียนด้วย โดยให้ผู้ที่เป็นหุ้นส่วนทุกคนในห้างหุ้นส่วนจำกัดก่อนจดทะเบียนไม่ว่าจะเป็นหุ้นส่วนประเภทใดก็ตามก็จะต้องร่วมกันรับผิดต่อเจ้าหนี้โดยไม่จำกัดจำนวนความเสียหายที่เกิดขึ้นในบรรดาหนี้สินที่ห้างหุ้นส่วนจำกัดก่อนจดทะเบียนได้ก่อขึ้นภายใต้วัตถุประสงค์ของห้างหุ้นส่วนแล้วแต่สำหรับหนี้ที่เกิดขึ้นหลังจากจดทะเบียนจัดตั้งห้างหุ้นส่วนจำกัดแล้วนั้น ผู้ที่เป็นหุ้นส่วนจำกัดความรับผิดก็รับผิดเพียงไม่เกินค่าหุ้นที่ลงไว้เท่านั้น และหากหุ้นส่วนจำกัดความรับผิดชำระค่าหุ้นครบถ้วนแล้ว ก็จะหลุดพ้นจากความรับผิดดังกล่าว
According to Section 1079 of Thailand Civil and Commercial Code, the limited partnership entity that has not been registered as the Juristic Person shall be liable to creditors or third parties for concurrent liability or legal contract in the same manner as the general partnership in which the law requires all shareholders, whether being limited or unlimited partnership shareholders to assume responsibility in all liabilities of a limited partnership with unlimited number of damages until a limited partnership has officially established as required by law. And if a limited partnership had incurred debts or conducted businesses with the third parties while waiting to register as a juristic person, the limited partnership is still liable for pre-registration debts once the registration completed and it became the legal entity. All limited partnership shareholders prior to official registration, regardless of shareholder types are required to take full responsibility on creditors with number of damages from the debts of a limited partnership established under the entity objectives. As for the debt incurred after the official registration, the shareholders shall be liable only the value of own shares and when the limited partnership had fully paid for share values, it shall be released from such liability.
